1. Acknowledgment

These Terms of Use govern Your access to and use of InterviewNail (the "Application") and any related websites, portals, or APIs operated by Interview Nail (the "Company", "We", "Us", or "Our"), collectively the "Service." By accessing, downloading, installing, activating a license key for, or otherwise using the Service, You agree to be bound by these Terms and to Our Privacy Policy. If You do not agree, do not access or use the Service.

You represent that You are over the age of 18. The Company does not knowingly permit anyone under 18 to use the Service.

2. Definitions

For the purposes of these Terms:

  • Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
  • AI Credits means prepaid usage credits purchased through the Service for optional AI-assisted features within the Application.
  • Application means the InterviewNail software application provided by the Company, downloaded and installed by You on a Device.
  • Company (referred to as "the Company", "We", "Us", or "Our") refers to Interview Nail, 1500 N Grant St Ste R, Denver, CO, 80203.
  • Country/State refers to Colorado, United States.
  • Device means any computer or other device that can access the Service.
  • Feedback means feedback, innovations, or suggestions You send Us regarding the attributes, performance, or features of the Service.
  • License means the right to activate and use the Application that You obtain by purchasing a license key through the Service, as described in these Terms.
  • Service refers to the Application and any related websites, portals, or APIs operated by the Company, including interviewnail.com and the customer portal.
  • Terms of Use (also referred to as "Terms") means these Terms of Use, together with the Privacy Policy, which govern Your access to and use of the Service.
  • Third-Party Social Media Service means any service or content provided by a third party that is displayed, included, made available, or linked to through the Service.
  • You means the individual accessing or using the Service, or the company or other legal entity on whose behalf such individual is accessing or using the Service, as applicable.

3. The Application and Your License

A License purchase grants You a personal, non-exclusive, non-transferable right to install and use the Application on up to the number of Devices Your License allows (currently 2), for the major version You purchased. This is a one-time purchase, not a subscription — You keep using the version You bought for as long as You like. Free updates within that major version are included; a new major version is a separate purchase.

4. Your License Key and Devices

Your license key activates the Application on a Device and is tied to that Device until You deactivate it. You can manage which Devices are active from the customer portal. Sharing Your license key with people outside Your own Devices, or attempting to bypass the Device limit, is not permitted.

5. AI Features and AI Credits

AI-assisted features are optional and work one of two ways, Your choice: bring Your own AI provider API key (used directly from Your Device, never sent to the Company), or buy prepaid AI Credits from the Company. AI Credits are a one-time purchase, never a subscription, and don't expire, except that this no-expiration commitment ends if the Company ceases doing business or discontinues the Service.

6. Purchases, Payments, and Refunds

Purchases are processed by Stripe. The Company does not store Your payment card details.

The Company reserves the right to revise the prices of Licenses and AI Credits at any time; a price change does not affect a purchase You already completed. The Company also reserves the right to refuse or cancel a purchase if We suspect fraud, an unauthorized or illegal transaction, or a pricing or description error.

Licenses and AI Credits are non-refundable. If something's gone wrong — a mistaken purchase, a billing issue — contact support@interviewnail.com and We'll take a look; refunds are issued at the Company's discretion.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Reverse-engineer, decompile, disassemble, redistribute, or resell the Application;
  • Attempt to circumvent license activation, Device limits, or AI Credit metering;
  • Attempt to gain unauthorized access to the Service, the Company's systems, or another user's account or License;
  • Transmit any virus, malware, or other harmful code through the Service.

8. Intellectual Property

The Service and its original content (excluding content You provide), features, and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and other countries. Our trademarks and trade dress may not be used in connection with any product or service without the Company's prior written consent.

9. Your Feedback to Us

You assign to the Company all right, title, and interest in any Feedback You provide about the Service. If such assignment is ineffective for any reason, You grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, disclose, distribute, modify, and exploit such Feedback without restriction.

10. Links to Other Websites

The Service may contain links to third-party websites or services not owned or controlled by the Company, including payment processing by Stripe. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise You to review the terms and privacy policies of any third-party site You visit.

11. Termination

We may suspend or terminate Your License and access to the Service if You breach these Terms, including by attempting to circumvent license activation or Device limits. You may also deactivate Your own Devices at any time from the customer portal, as described in Section 4. Upon termination, Your right to use the Service ceases immediately; the sections covering Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law survive termination.

12. "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind, to the maximum extent permitted by law. The Company disclaims all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Service will meet Your requirements, operate without interruption, or be error-free, or that any errors will be corrected. The Company does not guarantee any specific outcome from using the Service, including success in any job interview.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to You; in that case, they apply to the greatest extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, the Company's entire liability, and Your exclusive remedy, for any claim arising from these Terms or the Service is limited to the amount You actually paid the Company through the Service, or 100 USD if You have not purchased anything through the Service.

In no event will the Company be liable for any special, incidental, indirect, or consequential damages, including loss of profits, data, or business interruption, arising from Your use of or inability to use the Service, even if advised of the possibility of such damages.

Some jurisdictions do not allow this limitation, so it may not apply to You; in that case, liability is limited to the greatest extent permitted by law.

14. Governing Law

The laws of Colorado, United States, excluding its conflict-of-law rules, govern these Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

15. Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at support@interviewnail.com.

16. For European Union (EU) Users

If You are a European Union consumer, You will benefit from any mandatory provisions of the law of the country in which You are resident.

17. United States Legal Compliance

You represent and warrant that (i) You are not located in a country subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

18. Severability and Waiver

Severability

If any provision of these Terms is held unenforceable or invalid, that provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms will not affect a party's ability to exercise that right or require that performance at any time thereafter, nor will the waiver of a breach constitute a waiver of any subsequent breach.

19. Translation Interpretation

These Terms may be translated if We make them available to You in another language on the Service. You agree that the original English text shall prevail in the case of a dispute.

20. Changes to These Terms

We may update these Terms from time to time, at Our sole discretion. If a change is material, We will make reasonable efforts to provide at least 30 days' notice before it takes effect. The next time You use the Application after a change, You'll be asked to review and re-accept the current Terms before continuing.

By continuing to use the Service after a revision takes effect, You agree to be bound by the revised Terms. If You do not agree, stop using the Service.
